1. Introduction

Welcome to the website and digital platform of Jaypee Capital Services IFSC Private Limited (“Jaypee IFSC”, “Company”, “we”, “our”, or “us”).

These Terms & Conditions govern your access to and use of our website, online account opening platform, mobile applications (if any), and the products and services offered by the Company in relation to financial products made available through recognised stock exchanges in the International Financial Services Centre (IFSC), Global Access arrangements, and other regulated market infrastructure institutions, authorised intermediaries, and service providers, in accordance with applicable laws and regulations.

By accessing our website or using any of our services, you agree to be bound by these Terms & Conditions together with our Privacy Policy and all applicable laws and regulations.

2. About Us

Jaypee Capital Services IFSC Private Limited is a company incorporated under the Companies Act, 2013 and registered with the International Financial Services Centres Authority (IFSCA).

The Company is authorised to provide capital market services permitted under applicable IFSCA regulations, including services as:

  • Broker Dealer;
  • Global Access Provider;
  • such other activities as may be permitted by IFSCA from time to time.

The Company may facilitate client access to financial products traded on NSE IFSC Limited in the International Financial Services Centre (IFSC). In its capacity as a Global Access Provider, the Company may also facilitate eligible clients’ access to international financial products through authorised arrangements with regulated market participants, in accordance with applicable laws, IFSCA regulations, exchange rules, and other regulatory requirements.

3. Eligibility

To use our services, you must:

  • be at least 18 years of age;
  • possess legal capacity to enter into binding contracts;
  • satisfy applicable KYC/AML requirements;
  • comply with all applicable laws of your country of residence;
  • not belong to any prohibited or sanctioned jurisdiction.

The Company reserves the right to reject any application without assigning reasons.

4. Nature of Services

The Company provides access to investment opportunities, trading facilities and related services through regulated financial market participants.

Depending upon the product or jurisdiction, execution, clearing, settlement, custody or other services may be performed by third-party regulated entities.

The Company does not guarantee availability of every market, product or investment opportunity.

The Company shall not provide or facilitate access to trading or investment in cryptocurrencies, Virtual Digital Assets (VDAs), crypto-assets or any similar digital assets through its Global Access Provider services, unless expressly permitted under applicable laws and regulations. Any request relating to such products may be declined or rejected by the Company without prior notice.

5. Account Opening

To access certain services, clients may be required to:

  • complete onboarding formalities;
  • provide KYC documents;
  • submit FATCA/CRS declarations where applicable;
  • complete risk profiling;
  • provide tax declarations;
  • execute client agreements;
  • satisfy additional due diligence requirements prescribed under applicable regulations.

Account activation shall be subject to successful verification and regulatory approvals wherever applicable.

6. Regulatory Compliance

Clients agree to comply with IFSCA Regulations, applicable FEMA provisions, Anti-Money Laundering laws, Counter Terrorist Financing requirements, sanctions screening requirements, tax reporting obligations, exchange rules, depository regulations, applicable laws of their country of residence.

7. Client Representations

The client confirms that:

  • all information submitted is true and complete;
  • funds originate from legitimate sources;
  • investments are made for lawful purposes;
  • the client will immediately inform the Company of any material change in information.

8. Risk Disclosure

Investments in securities and financial products involve market risk.

Past performance is not indicative of future returns.

International investments may involve additional risks including currency fluctuations, geopolitical events, taxation changes, regulatory changes, liquidity risks, settlement risks.

Clients should carefully evaluate their financial circumstances before investing.

9. Third-Party Services

The Company may introduce or facilitate access to Third-party services but shall not be responsible for acts, omissions or defaults of independent third parties except to the extent required by applicable law.

10. Orders and Execution

All investment instructions are subject to market availability, exchange rules, regulatory restrictions, operational feasibility, applicable cut-off timings.

Execution is not guaranteed merely because an order has been submitted.

The Client shall be solely responsible for all investment decisions and trading instructions placed through the account. The Company shall not be liable for any losses arising from incorrect, erroneous, accidental or unintended orders placed by the Client or the Client’s authorised representative, except where such losses result directly from the Company’s fraud, gross negligence or wilful misconduct.

11. Fees and Charges

Clients agree to pay brokerage, commissions, exchange fees, clearing charges, custody charges, taxes, statutory levies, foreign market charges, other applicable service charges.

12. Intellectual Property

All website content, software, logos, trademarks, documents and materials remain the exclusive property of the Company or its licensors.

No content may be reproduced without prior written permission.

13. Website Availability

The Company does not guarantee uninterrupted availability of the website or digital platform.

Services may be interrupted due to maintenance, regulatory requirements, internet failures, cyber incidents, force majeure events.

14. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for losses arising from market movements, client decisions, internet failures, exchange disruptions, acts of third parties, delays in execution, force majeure events.

Nothing herein excludes liability that cannot be excluded under applicable law.

15. Indemnity

The client agrees to indemnify and hold harmless the Company against any losses arising from:

  • breach of these Terms;
  • violation of applicable law;
  • submission of incorrect information;
  • unauthorised use of the client’s account.

16. Suspension or Termination

The Company may suspend or terminate access where:

  • regulatory requirements so require;
  • suspicious activity is detected;
  • KYC becomes deficient;
  • applicable laws require suspension;
  • the client breaches these Terms.

17. Privacy

Collection and processing of personal information shall be governed by the Company’s Privacy Policy.

18. Amendments

The Company reserves the right to amend these Terms from time to time. Updated Terms shall become effective upon publication on the website.

19. Governing Law

These Terms shall be governed by the laws of IFSCA without regard to its conflict of law principles. Courts having jurisdiction over GIFT City, Gujarat shall have exclusive jurisdiction unless otherwise required by law.
